• A two-days Strategy Conclave was held on September 03-04, 2021 to discuss the performance, business environment, and strategies of the company. The conclave was attended by all the Directors on the Board including Independent Directors Sh. Rajesh Sharma, Sh. Raj Kamal Bindal & Sh. Manish Kapoor and the nominees of the Government of India.

As a part of familiarisation programmes for Independent Directors, presentations were made to independent directors Dr. Raj K Agarwal, Dr. Sivaprasad K & Dr. Lekhasri Samantsinghar on the following subjects :

• An overview of BHEL
• Overview of business sector viz., Power sector, Industry Sector and International Operations.
• Project Management
• Financial Management
• Important statutory & regulatory provisions under Companies Act, 2013 and Listing (Obligation & Disclosure Requirements ) Regulations, 2015 with emphasis on provisions concerning Directors

The presentations were made on 16th December, 2021 from 10.00 am to 7.00 pm(Eight and a half hours).

• Sh. Raj Kamal Bindal, Independent Director attended a Programme on Capacity Building for Directors of CPSE’s organised by Institute of Chartered Accountants of India jointly with Department of Public Enterprises, Ministry of Finance on 22nd December, 2021. The Programme was held online and started at 10.00 am and closed at 4.00 pm. The Director attended the Programme from BHEL House, Siri Fort, N.Delhi.

• Dr. K Sivaprasad, Independent Director attended a Programme on Capacity Building for Directors of CPSE’s organised by Institute of Chartered Accountants of India jointly with Department of Public Enterprises, Ministry of Finance on 28th January, 2022. The Programme was held online and started at 10.00 am and closed at 3.30 pm.

• Dr Lekhasri Samantsinghar and Shri Aditya Prasad Sahu, Independent Directors attended one day orientation programme for Non-official (Independent) Directors of CPSEs in collaboration with the ICSI covering various aspects viz., a) The Board's Legal Environment: Duties, Responsibilities & Liabilities of a Director; b) Independent Directors: Improving Corporate Credibility and Governance Standards, c) Corporate Governance: Enhancing Stakeholder Value, d) Compliances under Companies Act, 2013, SEBI (LODR) Regulations, 2015 & Risk Governance and e) Overview of ICSI Secretarial Standards. The Programme was held online and started at 10.00 am and closed at 6.00 pm.
